These Terms of Service ("Terms") govern the dedicated server services sold on https://www.geekydigital.net by Geeky Digital EOOD, company ID 207936510, VAT number BG207936510, registered at 2-4 Kozloduy Str., Haskovo, Bulgaria ("we", "us"). By creating an account or placing an order you ("you", "the customer") agree to these Terms, the Acceptable Use Policy, the Service Level Agreement and the Privacy Policy.
1. Account
1.1. You must give true and complete details when you register and keep them up to date. The country you register with determines the VAT on your invoices and can only be changed by contacting support.
1.2. You are responsible for everything done through your account. Keep your password safe and turn on two-factor authentication.
1.3. You must be at least 18 years old, or act for a company or organisation that you are authorised to bind.
2. Orders and delivery
2.1. An order is accepted when it is paid in full. Servers are set up by our team; we aim to deliver servers shown as "in stock" within 48 hours after payment.
2.2. Configurations shown as "on request" are not sold online. We reply to a quote request with availability, delivery time and price; such an offer is binding only once you accept and pay it.
2.3. We may refuse or cancel an order, for example when the hardware is no longer available, the details look fraudulent or the intended use breaks the Acceptable Use Policy. If we cancel a paid order, we refund the full amount.
3. Prices, invoices and payment
3.1. Prices are shown excluding VAT. VAT is added according to the law: Bulgarian VAT for customers in Bulgaria, reverse charge for EU businesses with a valid VAT number, the VAT rate of the customer's country for EU consumers, and no VAT for customers outside the EU.
3.2. You receive a proforma invoice when an order or renewal is created and a tax invoice once it is paid in full. Invoices are issued electronically and are available in the client portal.
3.3. You can pay by card (Stripe), PayPal, cryptocurrency (NOWPayments) or with your account credit. Card and PayPal fees are paid by us.
3.4. Account credit can be topped up in advance. It is used for our services only and is not interest-bearing.
4. Term, renewal and cancellation
4.1. Services run for the billing period you chose (for example one, three, six or twelve months) and renew for the same period.
4.2. Renewal invoices are issued before the due date. With automatic payment turned on, we charge your saved card or PayPal account on the due date; otherwise you pay the invoice manually.
4.3. If a renewal invoice is not paid, the server is suspended 5 days after the due date and terminated 14 days after the due date. All data on a terminated server is permanently erased.
4.4. You can cancel a server in the client portal either immediately or at the end of the paid period.
5. Refunds
5.1. When a refund is due, it is made for the full amount of the invoice, only to the payment method that was used for it (a card payment back to the card, a PayPal payment back to PayPal, a cryptocurrency payment back to a crypto address you provide), or, if you prefer, as account credit.
5.2. We do not refund unused parts of a billing period after a cancellation, except where the law requires it (see section 6).
6. Consumers in the EU
6.1. If you are a consumer, you may withdraw from a contract within 14 days of placing the order without giving a reason, by contacting us at billing@geekydigital.net.
6.2. By placing an order you ask us to start the service before the withdrawal period ends. If you withdraw after the server has been delivered, you pay for the service provided up to the moment you told us, and we refund the rest.
6.3. The statutory rights of consumers under the law of their country of residence are not affected by these Terms.
7. Your responsibilities
7.1. You have full root access and are responsible for the software, configuration, security and backups of your server. We do not back up your data.
7.2. You must follow the Acceptable Use Policy. We may suspend a server without notice when it is used for abuse, is compromised or puts our network or suppliers at risk.
8. Our responsibilities and liability
8.1. We provide the service with reasonable care and to the standards in the Service Level Agreement. Service credits under the SLA are your sole remedy for downtime.
8.2. We are not liable for indirect or consequential loss, lost profit, lost data or business interruption. Our total liability in any 12 months is limited to the amount you paid us for the affected service in that period.
8.3. Nothing in these Terms limits liability that cannot be limited by law, including for intent or gross negligence.
9. Changes
We may change these Terms. We will tell you about material changes by email or in the client portal at least 30 days before they apply to your active services. If you do not agree, you can cancel before the changes take effect.
10. Law and disputes
These Terms are governed by Bulgarian law. Disputes are decided by the competent court in Bulgaria, without prejudice to the mandatory rights of consumers to bring a claim in their own country.
